1. Acceptance of Terms
1.1 Acceptance
By upgrading to the Business or Enterprise plan and making payment, the organization ("Customer") confirms that it has read, understood, and agreed to the terms in this document together with the accompanying Refund Policy.
1.2 Effective Date
These Terms take effect from the earlier of: (a) the date the Customer confirms acceptance (if a separate confirmation step exists), or (b) the date the Customer makes its first payment for a paid plan. These Terms remain in effect until terminated under Section 8 (Cancellation) or Section 12 (Changes to the Terms).
2. Service Description
2.1 Description
OXU provides a platform service on a seat-based subscription model. Each license grants one user within the organization access to the application. Three plans are currently available: Free, Business, and Enterprise — pricing and usage limits are set out in Section 4.
2.2 Contracting Entity
The Payment service is provided by OXU, a company headquartered in Switzerland, operating within the same platform ecosystem as Identity (OXU Identity / IDP).
3. Relationship with Other Policies
This document should be read together with the following policies, which form an integral part of these Terms: the Refund Policy (see Section 9), Oten's Privacy Policy, Oten's Security Policy, and the Acceptable Use Policy (AUP) (see Section 10).
4. Plans & Pricing
4.1 Current Pricing
| Plan | Price | User limit |
|---|---|---|
| Free | $0 | Up to 10 |
| Business | $10 / license / month | Up to 200 |
| Enterprise | $20 / license / month | Up to 10,000 |
4.2 Conditions for First-Time Upgrade
The first upgrade to a paid plan (Business or Enterprise) requires a minimum purchase of 10 licenses and immediate payment; deferred billing does not apply.
4.3 Right to Change Pricing
OXU reserves the right to adjust the pricing listed in Section 4.1 at its business discretion. For existing customers, OXU will provide reasonable advance notice by email or in-app notification before new pricing takes effect.
5. Payment
The currently supported payment method is crypto (BTC) via the Customer's own wallet, processed through the Nowpayments payment gateway. The billing cycle is 30 days.
The Customer is responsible for ensuring the payment wallet has sufficient balance and a valid connection at the time of the transaction. Blockchain transactions are immutable; OXU is not responsible for errors arising from the Customer's wallet or blockchain network.
- BTC payments: BTC payment is supported, subject to the minimum payment amount required by the selected payment gateway. Please ensure your payment meets the gateway's minimum threshold before proceeding.
- Refunds: Refund requests are handled case by case. If you have accidentally made a duplicate payment, please contact [email protected] for assistance.
- Payment failure: If a payment fails, you will need to make the payment again by following the payment instructions provided for the payment gateway you selected. Different payment gateways may have different payment and retry procedures.
6. Outstanding Balance, Mid-Cycle Charges & Credit Limit
From the second billing cycle onward, mid-cycle license add-ons are prorated for the remaining days of use and may be recorded as an outstanding balance, added to the invoice for the following cycle, provided the total outstanding balance does not exceed the credit limit (equal to the value of the most recently paid invoice). If this limit is exceeded, the Customer must pay the full value of the new order immediately.
7. Overdue Payment & Service Suspension
Days 1–15 after the payment due date: the system displays a warning and the service continues to operate normally. From day 16: all users within the organization (except the organization owner) have their access suspended until payment is made in full. After 30 days of overdue non-payment: data is retained for a further 90 days before being permanently deleted from the system. OXU will make reasonable efforts to notify the organization before data is permanently deleted.
8. Cancellation
The Customer may cancel a paid plan at any time; cancellation takes effect at the end of the current billing cycle. The Customer may reactivate before the end of the cycle. If the cycle ends without reactivation, all users under that plan revert to a no-license status.
9. Refunds
The refund policy is set out in detail in the accompanying Refund Policy, which forms an integral part of these Terms.
10. Acceptable Use
Use of the Payment service is subject to the Acceptable Use Policy (AUP) applicable across the OXU platform, including rules on prohibited conduct, handling of violations, and the right to suspend or terminate an account for violations (as distinct from suspension for overdue payment under Section 7).
11. Service Availability & Limitation of Liability
OXU strives to maintain service availability but does not guarantee that the service will operate continuously, uninterrupted, or error-free. To the extent permitted by law, OXU's total liability to the Customer shall not exceed the total fees paid by the Customer in the preceding 12 months, and OXU shall not be liable for indirect, consequential, or special damages. OXU is excused from liability for force majeure events beyond its reasonable control.
12. Changes to the Terms
OXU may update these Terms from time to time. If a change is material, OXU will notify the Customer by email or in-app notification within a reasonable period before the change takes effect.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of Switzerland. Any dispute arising out of or in connection with these Terms shall be resolved in the competent courts of Switzerland.
